Terms and Conditions

Interpretation
All business is conducted and orders are accepted subject to the Terms and Conditions of Business set out below. Headings are included for reference only and shall not affect the construction of these Terms and Conditions. The Terms and Conditions below specifically exclude any terms and conditions proffered by the Customer, either verbally or in writing. In these Terms and Conditions, “Goldenshot” means Goldenshot Fine Art Ltd, and the “Customer” means the party placing the order. If goods and/or services are invoiced to a third party at the request of the customer, the customer remains liable in the event of non-payment by such a third party.
Price and Payment
The Customer will pay to Goldenshot the price set out in Goldenshot’s current price list, which Goldenshot may change at any time. All prices stated are exclusive of VAT. VAT is charged at the rate prevailing on the date of supply. For customers without credit accounts, work must be paid for upon collection of the completed job. Payment may be made by cash, cheque, or any major credit or debit card. Customers with credit accounts will receive invoices within a few days of completion of the job. Statements will be issued at the end of each month; account payment terms are strictly one month from date of invoice. Goldenshot reserves the right not to provide credit facilities to a Customer, without disclosing a reason. Applicants for credit accounts may be asked for trade or bank references, and agree to be credit checked if required. In the event of overdue accounts, Goldenshot may withdraw credit facilities at any time, and without prior notice. Goldenshot reserves the right to charge the Customer interest at 3% per annum above the base rate of National Westminster Bank Plc from the date payment is due to the date payment is made. The Customer will be liable to Goldenshot for any expenses incurred by Goldenshot in connection with the recovery of monies outstanding (including legal costs on an indemnity basis).
Service Times
Jobs accepted will normally be completed within forty-eight hours of placement of order, or receipt of materials, whichever is later. Although Goldenshot will endeavour to ensure that orders are completed within this time period, Goldenshot accepts no liability for damages in the event of failure to do so. Should delay be experienced in the completion of an order, the Customer does not have the right to cancel the order either entirely or in part. Goldenshot shall be entitled to sub- contract any service it agrees to perform for any Customer. Rush service charges may be applied to all jobs received by Goldenshot that require a service time less than forty-eight hours. Customers will be informed of any applicable rush charges before the relevant order is placed/accepted. Delivery instructions undertaken will be adhered to as closely as possible but no responsibility can be taken for delays. Delivery time is in addition to the estimated processing times quoted.
Limits of Liability & Issues of Insurance
Whilst every reasonable care will be taken in handling all materials belonging to Customers, including originals supplied and unexposed film or paper accepted for processing, liability for any loss or damage however caused, including negligence or work incorrectly executed by Goldenshot, its staff or subcontractors, loss or damage in transit, delay in transit wherever the destination, or loss or damage during storage of exposed film, is limited to the replacement value of the unexposed materials only. Goldenshot will not be liable for any loss of income by the Customer arising from Goldenshot’s negligence, in regard to either loss or damage to the customer’s materials whilst in the custody of Goldenshot, nor for any consequential damage as a result of such negligence. All materials belonging to Customers are accepted by Goldenshot on the strictest understanding that the replacement value of all materials does not exceed the current retail price of the unexposed and unused materials. Customers are advised that where they are of the opinion that the value of the materials exceeds replacement value, they should take out sufficient insurance to cover them in full against the consequences of loss or damage to the materials. Should the customer wish Goldenshot to insure against loss or damage to the materials submitted or consequential loss arising under any circumstances or claims of third parties, the Customer should notify Goldenshot in writing giving details of the value of materials to be insured or the limit of any claims to be covered and the nature of the risks to be insured against. Goldenshot will either effect insurance in accordance with these instructions or hold the material for collection without accepting them for processing if it is not able to effect such insurance. The amount of any premiums for insurance effected will be added to the invoice for the work undertaken, and should be paid for by the customer at the same time as the work (see above).
Copyright and Moral Rights
Orders are only accepted on the strictest understanding that the Customer has the necessary copyright and moral rights, clearance or any other necessary permission to copy, reproduce, change, manipulate, receive, transmit and store all materials supplied, and that the Customer automatically assumes liability for any legal action by any party that may be taken against Goldenshot, either through breach of copyright, moral rights, other necessary permission or for any other reason.
Force Majeure
Goldenshot shall not be liable for any failure to perform the contract due or principally due to any circumstances beyond its control including but not limited to inability to secure labour, materials, supplies or transport, scarcity of fuel, power or components, breakdowns in machinery, fire, storm, flood, Act of God, war, civil disturbance, strikes, lock-outs and industrial action in whatever forms.
Governing Law
These Terms and Conditions and any questions, disputes or other matters relating to them or any contract made subject to them shall be governed by and determined in accordance with the Laws of England. The Customer agrees to submit to the non-exclusive jurisdiction of the English Courts, in respect of any disputes, claims, or other matters, arising under these Terms and Conditions.
Discounts
If any discounts are applied to accounts, they will be removed when account exceeds 90 days.
